Terms of Service

These Terms of Service ("Terms") govern your use of fundunlocked.com ("Site") and the services offered by FundUnlocked ("FundUnlocked", "we", "us"). By purchasing our service or using our Site, you agree to these Terms.

1. The service

FundUnlocked provides done-for-you drafting services for high-stakes funding submissions — funding applications, grant submissions, SBIR/STTR pitches, and similar deliverables — for businesses, startups, and organizations. Our first live product is the NSF SBIR Project Pitch (the "Service"). For each order, we produce a character-limit-compliant draft covering the four NSF Project Pitch sections from raw materials supplied by you, deliver it within 48 hours of receiving a complete intake, and include one round of revisions.

NSF reviewing and funding decisions are made exclusively by NSF and are outside our control.

2. No guarantee of funding

We draft well. We do not guarantee outcomes. You acknowledge that:

• FundUnlocked does not guarantee that NSF will encourage your pitch, invite a full Phase I proposal, or award funding.
• Phase I awards (up to $305,000) are discretionary and depend on NSF's independent evaluation of technical merit, team, and commercial potential.
• Our Service is a writing and structuring service, not grant consulting, legal advice, tax advice, investment advice, or fundraising advice.

3. Your responsibilities

For us to ship a submission-ready Project Pitch in 48 hours, you agree to:

• Provide accurate, complete, and lawful information through the intake form and any follow-up correspondence.
• Respond to clarifying questions from our team in a reasonable timeframe.
• Review the delivered draft and communicate revision requests within our standard window (see §6).
• Submit the final document to NSF from your own account on NSF's portal.

You are solely responsible for verifying eligibility for NSF SBIR funding, for the truthfulness of the information you provide, and for the ultimate content submitted to NSF from your account.

4. Payment

The Service is priced at $349 (USD), charged upfront at checkout via our payment processor, Stripe. We begin work once payment is successfully captured. Prices may change, but any purchase is honored at the price displayed when you checked out.

5. Timeline and delivery

The 48-hour delivery window starts when both conditions are met: (a) payment is confirmed, and (b) we have received a completed intake form or equivalent materials. If we need clarifying information to meet NSF's four-section format, the timeline may extend by the time it takes you to respond. We deliver drafts by email to the address on file.

6. Revisions

One round of revisions is included. A "round" means a consolidated set of edits that you provide in a single reply to our delivery email within 14 days of delivery. Additional rounds, scope expansions, rewrites, or different deliverables (e.g. full Phase I proposals) are out of scope of this Service and may be quoted separately.

7. Refunds

Refunds are handled per our Refund Policy, which forms part of these Terms.

8. Intellectual property

• You own your input. Anything you send us — your company information, technology description, deck, notes, recordings — remains yours.
• You own the final deliverable. Upon full payment, we assign to you all rights in the Project Pitch draft we create, for your unrestricted use in your NSF submission and any related fundraising, marketing, or public materials.
• We retain our processes. The templates, structures, review checklists, writing systems, and any generalized knowledge we use to produce the deliverable remain ours. We may reuse them on other orders.

9. Confidentiality

We treat your intake content as confidential. We limit access to team members directly working on your order and do not publish or share your materials or identity externally without your written consent. We may publish anonymized aggregate statistics about our work (e.g., number of pitches shipped) provided no customer is identifiable. To request deletion of your materials after delivery, email contact@fundunlocked.com.

10. Acceptable use

You agree not to use the Service to submit false or fraudulent material to NSF or any government entity, to misrepresent your eligibility, to impersonate another person or company, or to violate applicable law. We reserve the right to refuse or cancel an order at our discretion if we reasonably suspect abuse; in that case we will refund any prepaid amount.

11. Warranty disclaimer

THE SERVICE AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDUNLOCKED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL RESULT IN ANY PARTICULAR OUTCOME WITH NSF OR ANY FUNDING SOURCE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDUNLOCKED'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID FOR THE ORDER GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS OR LOST FUNDING OPPORTUNITIES, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY.

13. Indemnification

You agree to indemnify and hold FundUnlocked harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from (a) content or materials you submit to us, (b) your use or misuse of the delivered Project Pitch, (c) your breach of these Terms, or (d) your violation of applicable law or any third party's rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction there. Each party waives any right to a jury trial.

15. Changes to the Terms

We may update these Terms from time to time. Material changes will be reflected in an updated "Last updated" date at the top of this page. Changes apply to orders placed on or after the effective date; existing orders remain governed by the Terms in effect at the time of purchase.

16. Miscellaneous

• Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and FundUnlocked regarding the Service.
• Severability. If any provision is held unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver.
• Assignment. You may not assign these Terms without our written consent. We may assign them to a successor entity in a merger or acquisition.
